Crown Cork & Seal Announces the Filing of an Amended Registration Statement of Constar International Inc.

PHILADELPHIA, Oct. 17 -- Crown Cork & Seal Company, Inc. (NYSE: CCK) announced today that its wholly owned subsidiary, Constar International Inc., has filed an amended registration statement with the Securities and Exchange Commission relating to Constar's proposed initial public offering. Under the amended registration statement, Crown intends to sell 12 million shares, representing its entire equity interest in Constar, at a price in the range of $15 to $18 per share. Constar will not sell any shares, except to the extent that the underwriters exercise their over-allotment option to sell up to 1.8 million shares. The registration statement also registers the sale of up to $200 million of Constar's senior subordinated notes due 2012, all of which will be offered and sold by Constar and used to pay indebtedness owed to Crown. In addition, Constar intends to enter into a $150 million term loan, the proceeds of which will be used to pay indebtedness owed to Crown. Crown expects that selling efforts for both the common stock and the senior subordinated notes will commence next week. The offerings are expected to close in the fourth quarter of 2002. Proceeds from the sale of Crown's shares in Constar and the Constar senior subordinated note offering and term loan will be used to repay a portion of Crown's outstanding indebtedness.
